StraitUp — Beta Testing Terms & Conditions

Provider: Substrait Construction Limited (NZBN [NZBN]), operating the StraitUp platform ("StraitUp", "we", "us", "our"). These terms apply to: the person or business accepting them to test StraitUp ("you", the "Tester").
Effective date: 20 September 2026 · Last updated: 10 October 2026 · Version: 1.1 (Beta) · Governing law: New Zealand

Read this before you accept. StraitUp is a pre-release test version. It is still being proven and is not guaranteed to be accurate or complete. You are taking part in testing to help us find issues. You must check everything the app produces — especially every price, invoice, payment claim and quote — before you rely on it or send it to anyone. By clicking "I agree" / "Accept" at registration, you confirm you understand and accept these terms.

1. What you're agreeing to

1.1 By creating a test account, clicking "I agree", or using StraitUp during the testing period, you agree to these Beta Testing Terms. If you accept on behalf of a business, you confirm you are authorised to bind it.

1.2 These terms govern the testing period only. When StraitUp goes live, different production terms will apply and you'll be asked to accept them separately.

2. This is a test — no guarantee it's correct

2.1 StraitUp is provided to you on an "as is" and "as available" basis, for testing and evaluation only.

2.2 You acknowledge that during testing StraitUp:

(a) is still being developed and proven, and is not warranted to be accurate, complete, reliable or fit for any particular purpose;

(b) may contain errors, bugs, miscalculations, incomplete features, and downtime;

(c) may display placeholder, seeded, sample or hard-coded demonstration data that did not come from you and that must not be treated as real; and

(d) may be changed, reset, corrected or have data cleared at any time.

2.3 We are working to fix issues, but we cannot find or fix everything at once — that is exactly what the testing period is for.

3. Free during testing

3.1 Access is free during the testing period. You will not be charged for the beta features made available to you as a Tester.

3.2 We may introduce paid plans in future. If we do, we will give you notice and you can choose whether to continue on paid terms. Nothing here commits either of us to a paid arrangement.

4. Your responsibility to check everything ⭐

4.1 You must independently check and verify everything StraitUp produces before you rely on it or send it to any client, subcontractor, supplier or other person. This includes, without limitation, all prices, rates, quantities, estimates, quotes, invoices, payment claims, variations, schedules and totals.

4.2 In particular, before you issue anything, you must:

(a) check the maths adds up and the figures are correct;

(b) confirm the data is your real data, and not placeholder, sample or hard-coded values; and

(c) satisfy yourself that the document is correct and complete for your purpose.

4.3 Do not treat any StraitUp output as final or authoritative during testing. You are solely responsible for anything you send out based on the app, whether or not it contains an error that originated in StraitUp.

5. Pricing errors and your own clients

5.1 The relationship between you and your own clients (and your quotes, contracts, invoices and variations with them) is entirely yours. StraitUp is a tool you use; we are not a party to, and take no responsibility for, your contracts, pricing or client relationships.

5.2 If, while checking, you identify a pricing error or discrepancy, it is your responsibility to raise it with your client and correct it before your contract with that client is signed.

5.3 Once your contract with your client is signed, any price change is a matter for your own contract terms with that client (for example, handled as a variation). That process is between you and your client and is not our responsibility.

6. Help us find issues

6.1 The point of testing is to find holes. Please report any bugs, errors, incorrect figures or issues promptly to gray@substraitconstruction.co.nz (or via any in-app feedback tool).

6.2 If you give us feedback, bug reports or suggestions, you grant us a free, unrestricted licence to use them to improve StraitUp, with no obligation to you.

7. Availability, changes and data during testing

7.1 We may modify, suspend, reset, or withdraw StraitUp (or any feature, or your access) at any time during testing, with or without notice.

7.2 Test data may be changed, reset or deleted at any time, and may not carry over to any future live version. Keep your own copies of anything important — do not use the beta as your only record.

7.3 We do not guarantee any level of availability, uptime, backup or data retention during testing.

8. Your data and privacy

8.1 You keep ownership of the data you put into StraitUp ("Your Data").

8.2 You are responsible for the data you load and for meeting your own obligations under the Privacy Act 2020 for any personal information about your clients, staff or subcontractors that you enter. As between us, you are the responsible agency for that information; we handle it on your behalf to provide the test service.

8.3 Because this is a test environment, please think carefully before loading real personal, sensitive or confidential information. Where possible, use sample data. If you do load real data, you accept the additional risk that comes with pre-release software.

8.4 We will take reasonable security measures appropriate to a test service, but they are not production-grade guarantees. If either of us becomes aware of a privacy breach, we will tell the other promptly and cooperate; each party remains responsible for its own notification duties under the Privacy Act 2020.

8.5 Improving pricing for everyone. You grant us a perpetual, worldwide, royalty-free, irrevocable licence to use the pricing information you enter into or generate in StraitUp — including labour constants, labour hours, charge-out and trade rates, material prices, subtrade rates and quantities — in de-identified and aggregated form, to develop, benchmark, calibrate and improve the platform's pricing, labour constants, rates, estimating and take-off tools for the benefit of all users.

8.6 We will not disclose your identifiable prices, rates or labour constants, or those of any individual company, to any other user. Only de-identified figures combined across multiple companies (so that no individual company's data can be identified) are used for the purpose in clause 8.5. Benchmarks, models, constants and other datasets we derive from aggregated data are owned by us; this does not change your ownership of the underlying data you entered (clause 8.1), and you may continue to use, correct and export your own data.

9. Acceptable use

You must not use StraitUp unlawfully; attempt to breach its security or access others' data; copy, resell or reverse-engineer it (except as the law allows); or introduce malware or interfere with its operation. You are responsible for activity under your account and for keeping your login secure.

10. Intellectual property

StraitUp and all its software, design, structure, calculation logic, templates and content (excluding Your Data) belong to us or our licensors. Testing gives you no ownership of it. You keep Your Data.

11. Limitation of liability

11.1 Nothing in these terms limits or excludes liability that cannot be limited or excluded by law (see clause 12) — including liability for misleading or deceptive conduct under the Fair Trading Act 1986.

11.2 Subject to clauses 11.1 and 12, and to the maximum extent permitted by law:

(a) StraitUp is provided during testing without warranties of any kind, express or implied, including as to accuracy, reliability or fitness for purpose;

(b) we are not liable for any loss arising from your use of, or reliance on, the beta — including loss caused by errors or incorrect figures in the app, or by your failure to check outputs before sending them, or by lost, reset or unavailable data; and

(c) without limiting the above, we are not liable for any indirect or consequential loss, or for loss of profit, revenue, data, goodwill or anticipated savings.

11.3 Because the beta is provided free of charge, our total aggregate liability to you arising from the testing period and these terms is limited to NZ$100.

11.4 You are responsible for taking your own precautions (including your own checks and your own copies of data) appropriate to using unproven, pre-release software.

12. Your rights that can't be excluded (this clause prevails)

12.1 Some rights are guaranteed by New Zealand law and cannot be contracted out of. Nothing in these terms limits or excludes them. If a clause conflicts with them, this clause 12 prevails and the conflicting clause is read down only so far as needed.

12.2 Business use — contracting out. Where you accept these terms and use StraitUp for the purposes of a business, you and we agree that, to the extent allowed by s 43 of the Consumer Guarantees Act 1993 and s 5D of the Fair Trading Act 1986, those Acts do not apply to the supply of the beta, and that it is fair and reasonable for you to be bound by this agreement. This does not apply to the extent you deal as a consumer.

13. Confidentiality

StraitUp is pre-release. Unless we've made a feature public, please treat non-public features, screens and information you see during testing as confidential, and don't share them outside your business without our consent.

14. Term and ending testing

14.1 These terms apply while you take part in testing.

14.2 Either of us may end your participation at any time, for any reason, on notice (which may be immediate). On ending: your access stops, clause 7.2 (data) applies, and clauses meant to survive (liability, IP, confidentiality) continue.

15. Changes to these terms

We may update these Beta Testing Terms during the testing period. We'll give reasonable notice of material changes (by email or in-app). Continuing to use StraitUp after they take effect means you accept them; if you don't, you can stop testing.

16. General

16.1 Governing law: New Zealand; the New Zealand courts have jurisdiction.

16.2 Force majeure: neither party is liable for delay or failure caused by events beyond its reasonable control.

16.3 Assignment: you may not assign these terms without our consent; we may assign to a successor of our business.

16.4 Severance: an unenforceable clause is modified to the minimum needed to make it enforceable, or severed, and the rest continues.

16.5 Entire agreement: these terms are the whole agreement for the testing period and replace prior representations, except that nothing excludes liability for fraud or under the Fair Trading Act.

16.6 Notices: to us at gray@substraitconstruction.co.nz; to you at the contact on your account.

Registration acceptance (wording for the "Accept" step)

☐ I understand StraitUp is a test version that is still being proven and may contain errors or placeholder data. I will check all figures, invoices and quotes before I rely on them or send them to anyone, and I accept the StraitUp Beta Testing Terms & Conditions (1.1 (Beta), 10 October 2026).

Record the account, the terms version, and the date/time of acceptance.
